We represent manufacturers in structuring distribution and sales networks, licensing plans, consignment agreements, co-marketing agreements, joint ventures and strategic alliances. At the same time, we frequently negotiate unique contracts on behalf of distributors, dealers and sales agents, as well as manufacturers. We are familiar with the franchise, antitrust, competition and dealer termination laws and analysis that apply to these commercial arrangements. Our experience spans a variety of industries, including trademarked consumer electronics, pharmaceuticals, foodstuffs, computer software, electronic loss prevention systems, heavy industrial equipment, street maintenance materials, home furnishings and contact lenses. Because some of our clients' products are subject to special industry statutes in certain cases, we alert our clients to these special considerations as needed and can obtain expert counsel to assist them.
